Terms & Conditions for Using Nextfio IT

Welcome to Nextfio IT ("Nextfio," "we," "our," or "us"). By accessing or using our website, platforms, products, or services (collectively, "Services"), you agree to be bound by these Terms & Conditions ("Terms"). Please read carefully.

1. Acceptance of Terms

By using our Services, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, you must not access or use our Services.

2. Scope of Services

Nextfio IT provides AI-powered solutions, software development, web development, mobile applications, AI agent automation, and digital marketing services. Specific service deliverables, pricing, and timelines are defined in separate project agreements or statements of work (SOWs).

3. User Obligations

As a user or client, you agree to:

• Provide accurate, complete, and current information.
• Comply with all applicable laws and regulations.
• Refrain from using our Services for any unlawful, harmful, or unauthorized purpose.
• Not infringe on intellectual property, proprietary, or third-party rights.

4. Intellectual Property

• All intellectual property rights in materials, software, platforms, designs, and content provided by Nextfio IT remain with Nextfio IT unless otherwise agreed in writing.
• Clients receive a limited, non-exclusive license to use deliverables for intended business purposes once full payment is made.
• Unauthorized use, reproduction, or distribution of Nextfio IT IP is strictly prohibited.

5. Payment Terms

• All fees and payment schedules are defined in the project agreement.
• Late payments may incur additional charges or suspension of services.
• Refunds are subject to project terms, work completed, and scope changes.

6. Confidentiality

• Both parties agree to maintain confidentiality of all proprietary information shared during the engagement.
• Confidential information includes business strategies, trade secrets, code, designs, customer data, and financial information.
• Disclosure is permitted only with prior written consent or as required by law.

7. Data Protection & Privacy

• Nextfio IT processes client and user data in accordance with our Privacy Policy.
• Clients are responsible for ensuring any data shared complies with applicable data protection laws.
• Nextfio IT implements reasonable technical and organizational measures to secure client data.

8. Warranties & Disclaimers

• Nextfio IT provides services on a best-effort basis and does not guarantee uninterrupted, error-free, or bug-free performance.
• We disclaim liability for indirect, incidental, consequential, or punitive damages arising from use of our services.
• All warranties are limited to the scope defined in project agreements.

9. Limitation of Liability

• Nextfio IT's maximum liability for any claim shall not exceed the total fees paid for the relevant service.
• We are not liable for losses due to third-party software, infrastructure failures, or external cyber incidents.

10. Termination

• Either party may terminate the engagement per the terms in the project agreement.
• Nextfio IT reserves the right to suspend or terminate services for non-payment, violation of terms, or legal compliance issues.

11. Governing Law & Dispute Resolution

• These Terms are governed by the laws of Bangladesh.
• Any disputes shall be resolved through arbitration or courts in Bangladesh.

12. Modifications to Terms

Nextfio IT may update these Terms at any time. Continued use of Services constitutes acceptance of the updated Terms.

13. Force Majeure

Nextfio IT is not liable for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, pandemics, or government actions.

14. Entire Agreement

These Terms, together with any project agreements, SOWs, or addenda, constitute the entire agreement between the parties and supersede prior agreements or understandings.
